1. Markethub9ja is a trading name of Markethub9ja Global Ltd, a registered company in Nigeria. Markethub9ja operates an e-commerce platform accessible via https://markethub9ja.com, which enables buyers and sellers (vendors) to engage in the purchase and sale of a wide range of consumer products.
2. These General Terms and Conditions govern the use of the Markethub9ja marketplace by both buyers and vendors. They apply to all activities carried out on our platform and form a legally binding agreement between you and Markethub9ja.
3. By accessing or using our platform, whether as a guest, registered user, or vendor, you agree to comply with and be bound by these Terms and Conditions in full. If you do not agree to any part of these terms, you must not use our website or services.
4. If you are using our marketplace on behalf of a business or an organization:
   • You confirm that you are authorized to bind that entity to these Terms and Conditions.
   • “You” will be interpreted to mean both the individual user and the business or organization represented, unless the context implies otherwise.

2. Registration and Account

1. To register for an account on Markethub9ja, you must be at least 18 years of age. By registering, you confirm that you are legally capable of entering into binding contracts.
2. Upon registration, you will be required to provide a valid email address or mobile number and create a secure password. You agree to:
   • Maintain the confidentiality of your login credentials;
   • Notify us immediately via our official contact page if you suspect unauthorized access or misuse of your account;
   • Accept responsibility for all activities conducted under your account unless proven otherwise.
3. Your Markethub9ja account is personal to you and must not be transferred or sold to another party. If you choose to authorize a third party to manage your account (e.g., business staff or agents), it is at your sole risk and responsibility.
4. Markethub9ja reserves the right to:
   • Suspend or terminate your account at any time without prior notice if we detect any violation of our terms, fraudulent activity, or breach of platform integrity.
   • If a suspension or termination affects a paid order or service, and you have not violated any part of these terms, a refund or remedy may be provided.
5. You may request to cancel your account at any time by contacting our support team at support@markethub9ja.com.ng.

3. Terms and Conditions of Sale

1. You acknowledge and agree that:
   • Markethub9ja provides a digital marketplace where independent vendors (sellers) can list and sell products, and buyers can browse and purchase those products.
   • While Markethub9ja facilitates the transaction, unless expressly stated otherwise, Markethub9ja is not a direct party to the contract of sale between the vendor and the buyer. We accept payment and fulfillment updates on behalf of vendors.
   • A binding contract of sale is formed between the buyer and the vendor once the buyer confirms purchase through the Markethub9ja platform.
2. Subject to these general terms and conditions, each vendor’s additional business terms may also apply to specific sales. However, the following key provisions shall always apply:
   • The sale price displayed on the product listing is final and binding once the order is placed.
   • The listed price must include all statutory taxes and comply with applicable laws.
   • Any additional fees (e.g. shipping, packaging, handling, or insurance) must be clearly itemized on the product listing and are payable by the buyer only if explicitly stated.
   • All products sold must:
     • Be of satisfactory quality, fit for the stated purpose, and safe for usage;
     • Match the descriptions provided by the vendor, including images and specs listed;
     • Comply with Nigerian and international consumer protection standards.
   • Vendors warrant that:
     • They are the legal and rightful owner of all physical goods offered for sale;
     • They have the legal rights to sell digital products or services listed;
     • Products do not infringe on third-party rights or are not under legal dispute, seizure, or investigation.

4. Returns and Refunds

1. Product returns and exchanges shall be governed by the Markethub9ja Refunds & Returns Policy, available here. We may update this policy periodically in accordance with consumer protection laws and business improvements.
2. Markethub9ja, in good faith, manages the return and refund process to ensure a smooth customer experience and support vendor accountability. Refunds may be granted at our discretion based on the following:
   • Refunds may cover:
     • The product value (excluding usage-related damages);
     • Part or all of the shipping costs (where applicable and justified).
   • Refunds will be processed via:
     • Store credit;
     • Bank transfer;
     • Wallet or payment reversal;
     • Or any other method we may provide from time to time.
3. Markethub9ja acts on behalf of the seller in processing returns and refunds, but retains full discretion to deny or approve refund requests in the best interest of marketplace integrity. In the case of digital goods or services, refunds are only issued in the case of:
   • Non-delivery;
   • Technical failure not caused by user error.
   • All other refund decisions will follow the vendor’s stated policies and may require vendor cooperation.
4. Changes to the Refund & Returns Policy will apply to all orders placed after the date of publication on our platform.

5. Payments

1. All payments must be made through the authorized channels available on the Markethub9ja platform, in compliance with our Payment Terms and Guidelines. Unauthorized payment methods are strictly prohibited and may void buyer protection guarantees.
2. Markethub9ja may provide instant or fast payout options to vendors; however, such disbursements may be withheld or reversed in cases of:
   • Disputes;
   • Refunds;
   • Fraud investigations.

6. Store Credit

1. Buyers may earn or be issued Store Credits as a form of refund, promotion, or loyalty incentive. Store Credits:
   • Are non-transferable and non-redeemable for cash;
   • Must be used within the validity period (usually 90 days unless otherwise stated);
   • Are subject to withdrawal or cancellation in the case of suspected misuse, fraud, or account violations.
2. Markethub9ja reserves the right to modify, suspend, or terminate the Store Credit program at any time, without notice, and at its sole discretion.

7. Promotions

1. Markethub9ja may from time to time run promotions, campaigns, or contests independently or in partnership with third-party sponsors. Participation in these promotions shall be governed by the Markethub9ja Promotions Terms & Conditions, which will be made available on our website or promotion landing page.
2. Each promotion is subject to specific eligibility rules, timelines, and conditions. It is your responsibility to review the terms applicable to a promotion before participating.
3. Markethub9ja reserves the right to amend, suspend, or cancel any promotion at its sole discretion and without prior notice if deemed necessary for business, compliance, or fairness reasons.

8. Rules About Your Content

1. In these general terms and conditions, “your content” refers to:
   • Any materials (text, images, graphics, audio, video, files, etc.) you submit to or through the Markethub9ja platform for storage, publication, distribution, or display;
   • Any communications or user-generated content made on the marketplace, including reviews, product feedback, messages, and comments.
2. You affirm that all content you submit is truthful, complete, and accurate, and does not misrepresent your identity or the nature of the product or services offered.
3. Your content must remain respectful, professional, and appropriate for general audiences. You must not submit content that:
   • Is offensive, obscene, pornographic, sexually suggestive, or indecent;
   • Depicts violence in an explicit or excessive manner;
   • Incites hate, abuse, racism, tribalism, religious or ethnic discrimination;
   • Misleads, defrauds, or impersonates any entity;
   • Harasses, threatens, or bullies other users;
   • Promotes spam, malware, or any deceptive links;
   • Causes unnecessary conflict or anxiety within the community.
4. Your content must not violate any applicable law or infringe upon the legal rights of others. This includes but is not limited to:

   • Court orders or regulatory restrictions.

7. The review feature is provided for honest feedback. Posting fake, malicious, or deceptive reviews—either to boost your own listing or defame others—is strictly prohibited.
8. You may not interfere with the transaction process in any way, including:
   • Contacting buyers or sellers to conduct transactions outside of the platform;
   • Sending warnings or negative claims about other users involved in a transaction;
   • Attempting to collect payments off-platform or offering side deals.
9. Markethub9ja is not responsible for the personal interactions between users. You are advised to exercise caution and discretion when communicating with others and should never disclose sensitive personal data such as passwords or bank/card details.
10. We may, at our discretion, review, monitor, and remove any content that violates these terms or may harm the Markethub9ja brand, users, or operations.
11. If you encounter any content or user activity that appears to violate these terms or the law, please report it to our support team immediately via our Contact Page.

9. Our Rights to Use Your Content

1. By submitting content to Markethub9ja, you grant us a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, store, adapt, publish, translate, and distribute your content on our platform and through any of our current or future communication or marketing channels, including social media, email, web, print, or digital media.
2. You also grant us the right to sub-license the rights provided under clause 9.1 to our affiliates, partners, or third-party service providers as needed to operate, improve, or promote the marketplace.
3. You authorize us to take legal action in our name against any third party that infringes upon the rights granted under clause 9.1.
4. To the maximum extent permitted by law, you waive all moral rights in your content and confirm that all contributors involved in your content have also waived their moral rights.
5. Without limiting our other rights under these terms, we reserve the right to remove, edit, or unpublish any of your content at any time if it breaches our content rules or if we have reasonable grounds to suspect a breach.

10. Use of Website and Mobile Applications

1. In this section, “website” and “marketplace” refer to all online and mobile-accessible platforms operated by Markethub9ja.
2. You may:
   • View pages in a browser;
   • Download pages for temporary browser caching;
   • Print pages for your personal or business use (non-commercial resale), provided it’s not excessive;

3. Any third-party trademarks displayed on our platform remain the property of their respective owners. Their appearance does not indicate endorsement or affiliation, and we do not grant permission to use such trademarks.

1. Buyers agree to the collection, processing, and use of their personal data in accordance with Markethub9ja’s Privacy and Cookie Policy.
2. Markethub9ja processes all user data responsibly and in accordance with applicable data protection regulations. Data collected through transactions, account creation, and interactions on the platform are handled under strict confidentiality.
3. Vendors (sellers) are independently responsible for how they handle, store, or use the data of buyers. Markethub9ja shall not be held liable for any misuse, breach, or unauthorized disclosure of personal data by vendors.

13. Due Diligence and Audit Rights

1. Markethub9ja operates a compliance framework in line with anti-fraud, anti-money laundering (AML), and ethical business conduct standards. We reserve the right to conduct background checks and verification processes on users (buyers, vendors, or partners).
2. As part of our compliance duties, you agree to provide us with any reasonable documentation, verification, or access that may be required:
   • To verify your compliance with these Terms and Conditions;
   • In response to a lawful request, such as a court order or government directive;
   • To fulfill obligations under applicable laws and regulations.

14. Markethub9ja’s Role as a Marketplace

1. You acknowledge and agree that:
   • Markethub9ja provides a platform that connects buyers and independent third-party vendors, and in some cases, products may also be sold directly by Markethub9ja;
   • The individual seller (vendor)—whether a third-party or Markethub9ja—is solely responsible for the products listed, sold, and delivered under their name;
   • If any issue arises concerning the purchase, delivery, or quality of a product, the buyer must engage the seller directly through the official dispute resolution channels provided by Markethub9ja, as outlined in our Dispute Resolution Policy.
2. Markethub9ja is committed to ensuring that all vendors (including Markethub9ja, where applicable) provide complete, accurate, and up-to-date information about their products listed on the platform. Accordingly:
   • Each vendor warrants and represents that the information about their products on the marketplace is accurate, complete, and not misleading;
   • Each vendor also confirms that such information is regularly reviewed and kept up to date;
   • If a buyer has a complaint concerning the accuracy or completeness of product information, such concerns must be directed to the respective vendor through our Dispute Resolution Process.
3. We do not warrant that the Markethub9ja platform will be free of faults or uninterrupted, especially during events beyond our control (force majeure), which may include but are not limited to:
   • Natural disasters such as floods, earthquakes, or droughts;
   • Cybersecurity breaches including hacking or virus attacks;
   • Civil unrest, riots, terrorism, war, or governmental instability;
   • Epidemics, pandemics, or other health crises.
4. Markethub9ja reserves the right to suspend, discontinue, or alter any part of the platform or services at any time without prior notice. In such instances, you will not be entitled to compensation. However, this does not affect the processing of pending orders or obligations already entered into.
5. In non-emergency scenarios (not caused by force majeure), we will issue a minimum of fifteen (15) days’ notice to all affected users prior to significant changes or discontinuation of services, along with guidance on the handling of any outstanding obligations.
6. Markethub9ja does not guarantee any commercial outcomes from your use of the marketplace. Your success on the platform is influenced by factors beyond our control, including product quality, pricing, service, and competition.
7. To the fullest extent permitted by law (subject to Section 15.1), we disclaim all implied warranties, representations, and guarantees regarding the platform, its use, and any associated services.

15. Limitations and Exclusions of Liability

1. Nothing in these Terms and Conditions shall:
   • Limit or exclude liability that is not permitted under applicable law;
   • Exclude statutory rights that cannot be waived by contract.
2. The limitations in this section apply to all liabilities, whether in contract, tort (including negligence), breach of statutory duty, or otherwise.
3. For services offered to you free of charge, we shall not be liable for any losses or damages of any nature.
4. For paid services, our total liability under any contract will be limited to the total amount you have paid us in relation to that specific contract or transaction.
5. We shall not be liable for:
   • Website downtimes or technical faults;
   • Events or occurrences beyond our reasonable control;
   • Business losses such as lost profits, goodwill, contracts, or opportunities;
   • Loss or corruption of data, databases, or software;
   • Any indirect, special, or consequential loss.
6. You acknowledge that we are a limited liability entity, and you agree not to bring any personal claims against any of our employees, officers, or agents. This does not limit our liability as a company for their acts.

The Markethub9ja platform may contain links to third-party websites, which are not under our control. We are not responsible for their content, performance, or any damage you may incur by accessing them.

16. Indemnification

1. You agree to indemnify and hold harmless Markethub9ja, its directors, staff, and affiliates from and against any claims, liabilities, losses, costs, or expenses, including legal fees, arising from:
   • Your use of the platform or any breach of these Terms and Conditions or associated policies;
   • Any tax liability arising from your failure to report, remit, or register tax obligations (such as VAT) on transactions you conducted on the marketplace.

17. Breaches of These General Terms and Conditions

1. Once approved, your account on the Markethub9ja platform will remain active indefinitely, provided there is full compliance with these General Terms and Conditions and all applicable Markethub9ja policies.
2. If you breach any provision of these Terms and Conditions, or if we reasonably suspect that you have done so or have violated any of Markethub9ja’s codes, policies, or seller guidelines, we reserve the right to take any or all of the following actions:
   • Temporarily suspend your access to the platform;
   • Permanently prohibit your use of the marketplace;
   • Block your IP address or associated devices from accessing the platform;
   • Notify your internet service provider (ISP) and request the restriction of your access to our website;
   • Suspend or terminate your account on the Markethub9ja platform;
   • Pursue legal action against you for breach of contract, misuse of platform, or any other applicable grounds.
3. In any case where your access is suspended, restricted, or blocked, you must not attempt to bypass or circumvent these restrictions, including but not limited to the creation or use of alternative accounts, VPNs, or proxy services to regain access.

18. Entire Agreement

1. These General Terms and Conditions—together with all other relevant policies, including the Markethub9ja Seller Terms and Conditions, Dispute Resolution Policy, Privacy Policy, and any other published codes and guidelines—represent the entire agreement between you (the user) and Markethub9ja with respect to the use of the platform.
2. These documents supersede all previous understandings or agreements, whether written or oral, regarding your use of the Markethub9ja marketplace.

19. Policy Hierarchy

1. In the event of any inconsistency or conflict between different policies or terms governing the use of the platform, the documents shall prevail in the following order of precedence:
   • Markethub9ja General Terms and Conditions
   • Markethub9ja Seller Terms and Conditions
   • Markethub9ja Codes, Policies, and Guidelines

20. Variations and Amendments

1. Markethub9ja may revise, update, or amend these General Terms and Conditions, Seller Terms, or any of our published policies and codes from time to time as may be necessary to reflect operational, legal, or strategic changes.
2. All such updates will take effect from the date of publication on the Markethub9ja marketplace website or mobile platform, unless otherwise stated.
3. Your continued use of the platform following any update shall be deemed as your acceptance of the revised terms.

21. No Waiver

1. The failure or delay by Markethub9ja to enforce any provision of these General Terms and Conditions shall not constitute a waiver of that or any other provision.
2. A waiver of any breach shall not be construed as a waiver of any future breach, even if similar in nature.

22. Severability

1. If any provision of these General Terms and Conditions is held by a competent authority to be unlawful, invalid, or unenforceable, that provision shall be severed from the remaining terms without affecting the validity or enforceability of the rest of the document.
2. If a provision is found to be partially invalid or unenforceable, that part shall be deemed removed or modified to the minimum extent necessary to make it lawful and enforceable, while the remaining part continues to be in full effect.

23. Assignment

1. You acknowledge and agree that Markethub9ja may at any time assign, transfer, sub-contract, or delegate any of its rights and/or obligations under these General Terms and Conditions without prior notice or consent, provided such action does not materially impact your rights as a user.
2. You may not assign, transfer, sub-contract, or otherwise dispose of your rights and/or obligations under these Terms without obtaining prior written consent from Markethub9ja.

24. Third-Party Rights

1. A contract under these General Terms and Conditions is intended solely for the benefit of Markethub9ja and the user (whether buyer or seller) and is not intended to benefit or be enforceable by any third party.
2. The exercise of rights and obligations under this contract does not require the consent of any third party, and no third party shall have any standing to enforce any provision herein.

25. Governing Law and Jurisdiction

1. These General Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria or such other jurisdiction in which Markethub9ja operates.
2. Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, or your use of the Markethub9ja marketplace, shall be subject to the exclusive jurisdiction of the courts located in Nigeria, and you hereby agree to submit to the authority of those courts.

26. Company Information and Notices

1. You may contact Markethub9ja Global Ltd. using the communication details provided in Appendix 1 of this document or via the official channels listed on our website.
2. If you need to contact a vendor for after-sales service, dispute resolution, or inquiries, you may do so by requesting such vendor’s contact information in accordance with Markethub9ja’s Dispute Resolution Policy, under which we shall ensure that the seller is clearly identifiable and accountable.
3. You consent to receive all communications, legal notices, and service-related information from Markethub9ja electronically. This includes, but is not limited to, updates posted to the website, in-app messages, or via email to the address associated with your account. Such communications shall be deemed delivered and valid as notices in writing upon dispatch.
